1. About Prompt

Prompt is a user-generated content platform. Users create and join games, write and respond to prompts, submit entries (including text, images, audio, video, and other media), invite others, vote, react, and interact with content posted by other users. Prompt is provided as a platform only. We do not create, endorse, verify, or guarantee user content.

2. Eligibility

You must be at least 13 years old to use Prompt. If you are under 18, you represent that you have permission from a parent or legal guardian who accepts these Terms on your behalf. You represent that you have the legal capacity to enter into a binding agreement and that you are not barred from using Prompt under applicable law.

3. Your account

You are solely responsible for your account, your login credentials, and all activity that occurs under your account. You must provide accurate information and keep it current. Notify us immediately if you believe your account has been compromised. We are not liable for any loss or damage arising from unauthorized use of your account.

4. User-generated content

"User Content" means anything you or other users submit, post, upload, transmit, or make available through Prompt, including prompts, entries, responses, comments, reactions, profile information, game settings, media, metadata, and any other material.

You understand and agree that:

• You are solely and entirely responsible for all User Content you create, post, or share.
• User Content reflects the views of the user who posted it, not Resonant Labs. We do not control, review, pre-screen, or guarantee User Content.
• You have all rights necessary to post your User Content and to grant the licenses below.
• You will not post content that infringes any third party's intellectual property, privacy, publicity, or other rights.
• You assume all risk associated with your User Content and your interactions with other users, including reliance on any content and any offline or online meetings or exchanges.

5. License you grant us

By submitting User Content, you grant Resonant Labs a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, adapt, publish, display, perform, distribute, and otherwise use your User Content in connection with operating, providing, improving, and promoting Prompt and our services. This license continues for as long as your User Content is stored or displayed through Prompt, and for a reasonable period thereafter for backup, legal, and operational purposes. You retain ownership of your User Content, subject to this license and our rights under these Terms.

6. Prohibited conduct and content

You agree not to use Prompt to:

• Violate any law, regulation, or third-party right, including intellectual property, privacy, and publicity rights.
• Post content that is unlawful, harassing, abusive, threatening, defamatory, obscene, hateful, discriminatory, fraudulent, or otherwise objectionable.
• Post content that exploits or harms minors, depicts non-consensual activity, or promotes violence or self-harm.
• Impersonate any person or entity, or misrepresent your affiliation.
• Spam, scrape, reverse engineer, interfere with, or disrupt Prompt or its infrastructure.
• Upload malware or attempt unauthorized access to accounts, systems, or data.
• Use Prompt for commercial solicitation without our prior written consent.

Game hosts may set content ratings (such as PG, PG-13, R, or NSFW). You are responsible for honoring the rating and rules of any game you join or host. Posting content that exceeds a game's stated rating is a violation of these Terms.

7. Moderation, reports, and enforcement

We may, but are not obligated to, monitor, review, remove, restrict, or disable access to any User Content or account at any time, for any reason or no reason, with or without notice. Users may report content they believe violates these Terms. We are not responsible for failing to detect or act on prohibited content. Our enforcement decisions are final. You agree that we have no duty to police User Content and no liability for content posted by you or other users.

8. Games, invites, and interactions with other users

Prompt allows users to create games, invite members, and interact in private or shared spaces. You are solely responsible for whom you invite, what you share, and how you interact with other users. We are not a party to disputes between users. Any reliance on other users' content or behavior is at your own risk.

9. Third-party services

Prompt may integrate with third-party services (such as Firebase, cloud storage, analytics, authentication, and payment processors). Your use of those services may be subject to their own terms and policies. We are not responsible for third-party services or any loss arising from them.

10. Subscriptions and payments

If you purchase a subscription or other paid feature, payment is processed by third-party providers. Fees, billing cycles, renewals, and cancellations are governed by the applicable checkout and billing terms presented at purchase. Except where required by law, all fees are non-refundable. We may change pricing or features at any time.

11. Intellectual property

Prompt, including its software, design, branding, and documentation (excluding User Content), is owned by Resonant Labs and its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of Prompt except as expressly permitted by us or by applicable open-source licenses.

12. Disclaimer of warranties

PROMPT AND ALL CONTENT AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, RESONANT LABS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT PROMPT WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, ACCURATE, COMPLETE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT ANY USER CONTENT OR THE CONDUCT OF ANY USER. YOU USE PROMPT ENTIRELY AT YOUR OWN RISK.

13. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, RESONANT LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE PROMPT, USER CONTENT, OTHER USERS, OR THIRD-PARTY SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO PROMPT OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE U.S. DOLLAR (US$1.00).

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to defend, indemnify, and hold harmless Resonant Labs and its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of Prompt; (c) your violation of these Terms; (d) your violation of any law or third-party right; or (e) any dispute between you and another user. We may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.

15. Release

To the fullest extent permitted by law, you release Resonant Labs from all claims, demands, and damages of every kind, known and unknown, arising out of or connected with disputes with other users or third parties, User Content, or your use of Prompt.

16. Termination

You may stop using Prompt at any time. We may suspend or terminate your access, remove User Content, or discontinue Prompt (in whole or in part) at any time, for any reason or no reason, with or without notice. Upon termination, your right to use Prompt ends immediately. Sections that by their nature should survive termination will survive, including ownership, licenses granted by you, disclaimers, limitations of liability, indemnification, and dispute provisions.

17. Dispute resolution and governing law

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles, except where mandatory local law applies. Any dispute arising out of or relating to these Terms or Prompt will be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND RESONANT LABS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

18. Changes to these Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may also be communicated through Prompt or by email where appropriate. Your continued use of Prompt after changes become effective constitutes acceptance of the revised Terms.

19. General

These Terms constitute the entire agreement between you and Resonant Labs regarding Prompt. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. Nothing in these Terms creates any agency, partnership, or employment relationship.
